Terms of Service

These Terms of Service ("Terms") govern your use of the Texonomy website at texonomy.ai, our related subdomains, and the services we provide ("Services"). "Texonomy," "we," "us," and "our" refer to Texonomy LLC, a Texas limited liability company. "You" refers to any person or entity that visits our site, submits a form, receives our communications, or engages us for Services.
By using the site or engaging us, you agree to these Terms. If you do not agree, do not use the site or the Services.
What we do
Texonomy designs and delivers AI-powered workflow automation and communication tools for businesses. Our current offerings include modern communication hubs (voice, SMS, and email), CRM setup, workflow automation, and related consulting. Specific deliverables, scope, and pricing for engagements are governed by a separate written proposal or statement of work signed by you and us.
Use of the site
You agree to use the site only for lawful purposes and in accordance with these Terms. You will not:
- Attempt to gain unauthorized access to any portion of the site or our systems.
- Use the site to send spam, phishing attempts, or unsolicited commercial communications.
- Reverse engineer, scrape at scale, or otherwise interfere with the operation of the site.
- Misrepresent your identity or affiliation when submitting information to us.
- Use the site or the Services to violate any law or third-party rights.
Communications from us
When you submit an inquiry, book a discovery call, or otherwise reach out, we may follow up by email, SMS, or phone using the contact information you provide. Our SMS practices, including opt-in, frequency, and opt-out, are described in the Privacy Policy. You may unsubscribe from marketing emails at any time using the link in each email or by replying STOP to any SMS.
AI voice assistant
If you call a number staffed by our AI voice assistant, the assistant will identify itself as an AI at the start of the call and ask for your consent to transcribe. Transcripts and structured summaries of the conversation are used to route your inquiry, follow up appropriately, and improve our Services. You may decline transcription and reach us by email at ryan@texonomy.ai instead.
Fees, invoices, and refunds
Fees for our Services are set in the proposal or statement of work you sign with us. Unless otherwise stated:
- Setup fees are due at engagement start and are non-refundable once we begin work.
- Monthly service fees are billed in advance and are non-refundable for partial months.
- Payment terms are net-15 unless a different term is stated in the proposal.
- Payments are processed by our third-party payment provider (currently Stripe). Their terms and privacy policies apply to the payment transaction.
If you dispute a charge in good faith, contact us at ryan@texonomy.ai before initiating a chargeback so we can resolve it directly.
Intellectual property
Our materials
The site content, our brand marks, and our proprietary methodologies remain our property. We grant you a limited, revocable, non-transferable license to view the site for your own business evaluation. Nothing on the site should be construed as granting a license to any Texonomy trademark or copyrighted material.
Your content
You retain ownership of the information and materials you provide to us. You grant Texonomy a limited license to use, store, and process that information solely to deliver the Services to you and to comply with legal obligations.
Deliverables
Upon full payment for a specific engagement, you receive ownership or a perpetual license (as stated in the proposal) to the deliverables produced for you. Reusable methods, templates, and generic tooling underlying those deliverables remain ours.
Confidentiality
Each party will treat non-public information disclosed by the other as confidential and use it only to perform under the engagement. This obligation survives termination for two years, or longer if required by law.
Warranties and disclaimers
We provide the site "as is" and disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
For Services delivered under an engagement, we warrant that we will perform the Services in a professional and workmanlike manner consistent with industry standards. Any specific performance guarantees will be stated in the proposal.
Limitation of liability
To the fullest extent permitted by law, Texonomy is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or lost data, arising from your use of the site or the Services. Our total aggregate liability for any claim arising out of the Services will not exceed the fees you paid us in the twelve months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend and indemnify Texonomy against any third-party claim arising from (a) your unlawful use of the site or Services, (b) your breach of these Terms, or (c) content or materials you provide that infringe a third party's rights.
Third-party services
Our Services rely on third-party infrastructure including Google Workspace, HighLevel, Cloudflare, OpenAI, ElevenLabs, Retell, Stripe, and Slack. Your use of the Services is also subject to their applicable terms. We are not responsible for outages or failures of those providers.
Modifications to the Services and Terms
We may update the site, our Services, or these Terms at any time. Material changes to these Terms will be posted here with an updated "Last updated" date. Continued use of the site or Services after changes take effect constitutes acceptance.
Termination
Either party may terminate an ongoing engagement for material breach that remains uncured for 15 days after written notice. On termination, you will pay for Services performed through the effective date of termination. Provisions that by their nature survive termination (payment, IP, confidentiality, disclaimers, liability limits, governing law) will survive.
Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. The parties agree to attempt to resolve any dispute in good faith before initiating a legal proceeding. Any legal proceeding will be brought exclusively in the state or federal courts located in Texas.
